Seattle In-Person Dog Training Services Agreement

By clicking the checkbox, you accept the agreement between yourself (hereinafter referred to as “Client”) and Cathy Madson, acting as agent for Preventive Vet Enterprises LLC, and Pupstanding Academy (hereinafter known as “Trainer”) pertaining to the dog(s) for which services are designated (hereinafter known as “Dog”).

For good and valuable consideration, the parties agree as follows:

Training Fees: Client agrees to pay Trainer a nonrefundable fee for chosen services, virtual or in-person single sessions or session packages.

Services: Trainer agrees to provide private lessons for Client and Dog on a lesson-by-lesson basis, the goal being to teach Client how to train and work with Dog. These lessons will take place virtually and/or at Client's home or mutually-agreed-upon location. Trainer will make every reasonable effort to help Client achieve training and behavior modification goals but makes no guarantee of Dog’s performance or behavior as a result of providing professional animal behavior consultation.

Behavior is not static; an animal will not continue to perform even trained behaviors without ongoing practice. Especially in cases involving any type of aggression, although behavior may be modified, the dog is never considered “cured.” A dog’s behavior is ultimately the owner’s responsibility. Client understands that he/she and members of the household must follow Trainer’s instructions without modification, work with dog daily as recommended, and constantly reinforce training being given to Dog.

Cancellation Policy: If Client fails to give at least 24 hours cancellation notice, or is not present at time of scheduled appointment, session fees are still due and non-refundable. For a package deal, the session will still be counted as one session.

Liability: Client acknowledges that training/behavior modification may be an activity in which damage or injury to dog(s) and/or persons may occur. Client further acknowledges that dog(s) may be exposed to a variety of environmental conditions which include, but are not limited to, vehicular travel, interaction with people and other animals, exposure to adverse weather, and exposure to areas with crowds and all types of traffic.

If Dog causes property damage, or bites or injures any dog, animal or person (including but not limited to Trainer and Trainer’s agents), during or after the term of this Agreement, then Client agrees to pay all resulting losses and damages suffered or incurred, and to defend and indemnify Trainer and Trainer’s agents from any resulting claims, demands, lawsuits, losses, costs or expenses, including attorney fees. If Dog is injured in a fight or in any other manner during or after the term of the Agreement, Client assumes the risk and agrees that Trainer should not be held responsible for any resulting injuries, losses, damages, costs, or expenses.

At Trainer's sole election, Trainer's duties hereunder shall terminate if (a) in Trainer's sole judgment Dog is dangerous or vicious to Trainer or any other person or animal, or interferes with the training of other dogs, or (b) Client breaches any term or condition of this Agreement, or (c) Client does not follow Trainer’s recommendations and instructions in regard to management for safety or for behavior modification and training. Upon termination in accordance with the foregoing, Trainer's duties shall terminate but all other provisions of this Agreement shall continue in full force and effect.

This Agreement is binding upon Client, spouse of Client, children of Client, or any agent or handler to whom the Client entrusts the training or care of their Dog. This Agreement supersedes all prior discussions, representations, warranties, and agreements of the parties, and expresses the entire agreement between Client and Trainer regarding the matters described above. The parties confirm that, except for that which is specifically written in this Agreement, no promises, representations, or oral understandings have been made with regard to Dog or anything else.

Without limiting the generality of the foregoing, Client acknowledges that Trainer has not represented, promised, guaranteed, or warranted that Dog will never bite, that Dog will not be dangerous or vicious in the future, that Dog will not exhibit other behavioral problems, or that the results of the training will last for any particular amount of time. This Agreement may be amended only by a written instrument signed by both Client and Trainer. 

By checking the box, Client agrees to allow Preventive Vet Enterprises LLC to video or photograph them, their dog(s), and their property. Client authorizes Preventive Vet LLC to copyright, use, or publish these videos for educational purposes, without attribution or mention of the Client’s name or personal information.

By checking the box, Client agrees to allow Preventive Vet Enterprises LLC to contact their dog’s veterinarian to discuss behavior and medical history.

Terms for the Purchase of Pupstanding Academy's Online Dog Training

These Terms and Conditions apply to Services provided by Preventive Vet Enterprises, LLC (“Preventive Vet,” “PV,” “Pupstanding,” Pupstanding Academy,” “we,” or “us”).

You may contact us on training@preventivevet.com and/or (503) 208-7838.

These Terms and Conditions are in addition to the privacy policy and terms of use on Teachable and apply to the sale of any online training session. Please read these Terms and Conditions carefully before purchasing a training session and print off a copy for your records.

If there is any conflict between Teachable’s Terms and Conditions, these Terms and Conditions and any Course Specific Terms and Conditions, which might apply to a specific online training session then the conflict shall be resolved by applying the following order of priority:

  1. Course Specific Terms and Conditions;
  2. These Terms and Conditions;
  3. Teachable’s Terms and Conditions.

When creating a user account via Preventive Vet’s Teachable school(s), by clicking on the “Box” beside Teachable’s “Terms of Use” & “Privacy Policy” and Preventive Vet’s Virtual Dog Training Academy’s “Terms of Use” & “Privacy Policy” you agree to the terms of both agreements which will bind you. Purchase of any services and / or Your completion of the account creation process indicates Your express agreement to the terms and conditions herein.

1. Definitions

“Services” means the provision of online (virtual) dog training sessions and/or the Course Materials together with such other services as agreed from time to time and purchased by you through the Website.

“Course Materials” means the information provided by Preventive Vet to accompany a course provided as part of the Services in hard copy or electronic form.

“Fees” means the fees paid by you to Preventive Vet for the Services.

“Intellectual Property Rights” means any and all copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, course material, videos, graphics, training methods, trademarks, rights in or relating to Confidential Information and other intellectual property rights (registered or unregistered) owned by Preventive Vet throughout the world.

“Online Training” means the delivery by us of an online/virtual dog training session/course and coaching (live or self-directed) pursuant to which you learn by attending, listening, and possibly asking questions.

“Website” means www.preventivevet.comhttps://preventive-vet-online-dog-training.teachable.com/, or any webpage on those domains.

“You” or “Your” means the individual/customer purchasing the Services.

“Live” is considered private one-on-one Coaching.

2. The Services

2.1. A description of the Services together with the dates on which the Services will begin are available on our Website. We will provide the Services with reasonable care and skill in accordance with the description set out on the Website.

2.2. We reserve the right to vary or withdraw any of the Services described on the Website without notice.

2.3 We expect you to confirm that the Services you are purchasing will meet your needs. We do not make any representation, warranty, or guarantee to you that you will obtain a particular result, professional qualification, or employment opportunity from your purchase and completion of any of the Services.

3. Ordering Services

3.1 Purchasing Services via the Website

In order to purchase any of the Services online you may be required to register for an account with us via the Website. If you already have an online training account with us, you can log into your account using your username and password.

3.2 Purchasing Services

When you place an order for a Service via the Website, you are offering to purchase the Services on these Terms and Conditions. Preventive Vet reserves the right to cancel or decline your order or any part of your order at any time until it has been confirmed in accordance with clause 3.4 below.

3.3. Following receipt by us of your order for Services via the Website we will contact you confirming receipt of your order. You may then complete an intake form (if required) and enroll.

3.4. A legally binding agreement between us and you shall come into existence when we have:
(a)   received payment of the relevant Fees from you in accordance with clause 5 below; and 

(b)    accepted your offer to purchase Services from us by sending you an email confirming the purchase.

3.5. Where your order consists of multiple virtual training sessions, each individual course will be treated by us as a separate offer to purchase. 

4. Cancellation and Variation

4.1. If You have purchased non-live Services through the Teachable platform, and have already accessed, downloaded all or part of the Course Material and/or started to use that virtual training session and you are unsatisfied, subject to Teachable’s Terms and Conditions, you may be entitled to a refund if a request for the same is made within thirty (30) days from the date of purchase.

4.2. Online private dog training sessions (coaching/live) are non-refundable. If You cannot attend your scheduled private training session, please let us know no later than 24 hours prior to your scheduled session. If we do not receive a reschedule request at least 24 hours before Your session, it will be considered a no-show. Rescheduling requests are limited to once per student per session purchased.

5. Fees

Fees are subject to change from time to time as the same are updated on the Website. The Fees for the Services shall be as set out on the Website at the time You placed an order for them. 

6. Liability

6.1. By accepting the terms of this agreement, You agree to indemnify, defend, and hold harmless Preventive Vet including its directors, employees, and contractors from any and all damage that the pet may cause to yourself, itself, other pets, any family members, third parties, or property during or after your training has concluded. You agree that your dog’s behavior at all times during a class or training session is 100 percent your responsibility.

6.2. Although Preventive Vet aims to provide the Services to the highest standards of the industry, neither it, nor its trainers accept any liability for (i) any inaccuracy or misleading information provided in the Course Materials and any reliance by Client on any such information, (ii) any loss of profit, revenue, or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of the terms of this Agreement.

6.3. Except to the extent that they are expressly set out in these Terms and Conditions, no conditions, warranties, or other terms shall apply to the Services. Subject to clause 6.5 no implied conditions, warranties or other terms apply (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description).

6.4. Subject to clause 6.5 below, Preventive Vet's total liability arising from or in connection with these Terms and Conditions and in relation to anything which we may have done or not done in connection with these Terms and Conditions and the delivery of the Service (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Fees received by us in connection with the relevant online training session in relation to which a dispute has arisen.

6.5. Nothing in this Agreement shall exclude or limit Preventive Vet’s liability for (i) death or personal injury caused directly by Preventive Vet’s negligence, or (ii) a fraudulent misrepresentation made by Preventive Vet.

7. Intellectual Property

7.1. All Intellectual Property Rights in the course materials, online training sessions are, and remain, the intellectual property of Preventive Vet or its licensors, whether adapted, written for or customized for the customer or not.

I hereby assign and grant to Pupstanding Academy the right and permission to use, reproduce, distribute, and publish the photograph(s), film(s), videotape(s), audio and video recording(s), electronic representation(s) and/or sound recording(s) sent to Pupstanding Academy and/or recorded during the training of my dog(s) by Pupstanding Academy, and I hereby release Pupstanding Academy from any and all liability resulting from such use, reproduction, distribution, and publication. I hereby authorize the reproduction, sale, distribution, copyright, exhibit, broadcast, and/or electronic storage of any and all such photograph(s), film(s), videotape(s), audio and video recording(s), electronic representation(s) and/or sound recording(s) without limitation at the discretion of Pupstanding Academy and I specifically waive any right to any compensation I may have for any of the foregoing. Pupstanding Academy may use your dog’s name but will not use your full name without your prior written consent.

7.2. You are not authorized to:

(i) copy, modify, reproduce, re-publish, sub-license, sell, upload, broadcast, post, transmit or distribute any of the Course Materials without prior written permission;

(ii) record on video or audio tape, relay by videophone or other means the online training session or course

(iii) use the Course Materials in the provision of any other course or training whether given by us or any third-party trainer;

(iv) remove any copyright or other notice of Preventive Vet on any Course Materials;

(v) modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the online training sessions.

Breach by You of this clause 7.2 shall allow us to immediately terminate these Terms and Conditions with You and cease to provide you with any Services, including but not limited to access to the online training. In the event of such a termination, You agree to immediately return or destroy all copies of Intellectual Property in your control or possession, whether digital or physical.

8. Entire Agreement

These Terms and Conditions, together with the Teachable Terms and Conditions, and Course Specific Terms and Conditions are the entire agreement between the parties and supersede any prior agreements and arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these and any other Terms and Conditions with us. Nothing in this clause or Terms and Conditions shall limit liability for any express fraudulent misrepresentation.

9. Force Majeure

Preventive Vet shall not be liable to you for any breach of its obligations or termination under these Terms and Conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes and other Acts of God, terrorism, strikes, delay caused by power/Internet service provider outages, failure to provide a course caused by a death in the trainer’s family, illness of the trainer, Government edict or regulation.

10. Law and Jurisdiction

This Agreement is subject to the laws of Washington State and the parties submit to the exclusive jurisdiction of Washington State courts in connection with any dispute hereunder.

Veterinary Digital Client Education Terms of Use

You have purchased an annual subscription license that includes the right to use our 101 Essential Tips books and Pet InfoRx® for distribution to your hospital’s clients.

One subscription per practice location.

101 Essential Tips Books

Your subscription license includes an access code that is unique to your veterinary practice. Your code is valid for one year from the date that you receive it from Preventive Vet.

When this access code is used by your clients, they will be able to create an account in Preventive Vet’s web-book library (books.preventivevet.com) where they can access the book(s) that your subscription entitles them to access.

How you can use your access code

Your access code MAY be used in client emails, client texts, on invoices, on posters in your practice, in handouts, within your hospital's app, and other direct forms of client communication.

How you may not use your code

Your access code MAY NOT be used in general public settings such as: your hospital's website, social media (e.g., Facebook, Instagram, Twitter, Reddit, etc.), mass communication (e.g., promotions and advertising), or events with non-clients (e.g., tradeshows, seminars, etc.).

Term of use

We reserve the right to issue you a new unique code if we find that its intended use has been compromised (e.g., if a disproportionate amount of accounts are being created using your code and the users are not your clients). We reserve the right to terminate your subscription if the terms of use are not adhered to.

Pet InfoRx®

Your subscription includes a license to use customized information prescriptions, Pet InfoRxs. You are provided with a personalized URL that has the InfoRx web links and PDFs that have been customized with your practice’s logo and contact information.

Unlimited use of these links and PDFs can be shared with any client under your care, during the subscription year. They can be used any way you directly communicate with your clients (examples include email, print, text, messaging software).

Renewal

Your account will NOT automatically renew. Approximately 2 months prior to the end of your subscription we will contact you via email (the email used to purchase the subscription) with the offer to renew it. Your subscription rate is based on the total number of full-time equivalent veterinarians you have on staff. There are two tiers: 1–4 veterinarians and 5+ veterinarians. You may change tiers at the time of renewal.

Failure to Renew

101 Essential Tips books: If your subscription is not renewed, we will disable the ability for your code to create new accounts with it. All your clients that have already created accounts will not be affected and they may continue to have access to the digital books you gifted them.

Pet InfoRx: If your subscription is not renewed, the links and PDFs will no longer be customized with your practice’s information. However, you will be able to continue using the URL Preventive Vet provided you to access the generic Pet InfoRx versions.

Dog Trainer 101 Essential Tips Web-Books Subscription Terms of Use
